These Terms of Use (“Terms”) are a legal agreement between you and NextPhase Technologies LLC (“NextPhase”, “we”, “us”) governing your use of the Thryve mobile application and related services (“Thryve”). By downloading, accessing, or using Thryve, you agree to these Terms. If you do not agree, do not use Thryve.

The service

Thryve provides software for personal organization, focus, movement tracking, and AI-assisted coaching. We may change, suspend, or discontinue features with reasonable notice where practicable.

Eligibility & accounts

You must be old enough to enter a binding contract where you live and meet any minimum age we specify in the app or store listing. You are responsible for your account credentials and for activity under your account. If you suspect unauthorized access, notify us. Email: support@thyrve.me

Subscriptions & payments

Paid features may be offered as auto-renewing subscriptions. Payment will be charged to your Apple ID or Google account at confirmation of purchase.

Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

You can manage or cancel your subscription at any time through your App Store or Google Play account settings.

If applicable, subscriptions may include a free trial period. If offered, you will not be charged until the trial ends. You may cancel before the trial period ends to avoid charges.

You agree not to misuse Thryve, including by:

Health & wellness

Thryve is for general wellness and productivity. It is not medical, mental-health, or professional advice. Always consult qualified professionals for health decisions. Do not use Thryve as a substitute for emergency services.

AI Features

Thryve may provide AI-generated suggestions and coaching. These outputs are generated automatically and may not always be accurate, complete, or suitable for your specific situation.

You should use your judgment when acting on AI-generated content. Thryve does not guarantee the accuracy or effectiveness of AI responses.

Intellectual property

Thryve, its branding, and content we provide are owned by NextPhase or our licensors. We grant you a personal, non-exclusive, non-transferable license to use the app as allowed by these Terms. You retain rights in content you submit; you grant us a license to host and process it as needed to run Thryve.

Disclaimer

Thryve is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

We do not guarantee specific results from using Thryve. Individual outcomes may vary based on usage and personal circumstances.

Limitation of liability

To the fullest extent permitted by law, NextPhase and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability for claims arising from these Terms or Thryve will not exceed the greater of USD $50 or the amount you paid us for Thryve in the twelve (12) months before the claim (excluding amounts paid to Apple). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum permitted by law.

Indemnity

You will defend and indemnify NextPhase and its officers and affiliates against claims arising from your misuse of Thryve, your content, or your violation of these Terms, to the extent permitted by law.

Our Privacy Policy explains how we handle personal information.

Governing law & disputes

These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-law rules, except where mandatory consumer protections in your country apply. Courts in Wake County, North Carolina have exclusive jurisdiction for disputes, unless applicable law requires otherwise or you have a mandatory right to sue in your home courts.

Changes

We may update these Terms by posting a new version on this page and updating the “Last updated” date. Continued use after changes constitutes acceptance of the revised Terms where allowed by law. For material changes, we may provide additional notice in-app or by email.
